
Alpha Dhabi has strengthened its position within the group by purchasing AD Ports Group’s stake in NMDC, while the company’s memorandum of understanding (MoU) with Limak for sustainable projects in Türkiye and the UAE continues to bolster regional investment cooperation.
Abu Dhabi–based AD Ports Group transferred its 9.77% stake in its subsidiary NMDC Group to Alpha Dhabi Holding for 1.6 billion AED (USD 436 million). All three companies are listed on the Abu Dhabi Securities Exchange (ADX).
AD Ports had originally acquired this stake from Abu Dhabi Developmental Holding Company (ADQ) prior to NMDC’s initial public offering in February 2022. The group stated that the investment generated a 17% shareholder return through dividends and valuation gains over four years. The sale price was based on NMDC’s book value as of the third quarter of 2025.
Third Non-Core Asset Divestment This Year
This transaction marks AD Ports’ third divestment of a “non-core asset” in 2025. Earlier in the year, the company sold a land plot in Kezad to Mira Developments and two logistics warehouses to Aldar Properties for a combined 570 million AED. Management noted that proceeds from the NMDC sale will be used to reduce leverage and fund higher-return projects.
AD Ports Group CEO Mohamed Juma Al Shamisi emphasized ongoing active portfolio management, saying, “We remain committed to portfolio optimization to create shareholder value.” Following the transaction, Alpha Dhabi’s stake in NMDC rises to approximately 77%.
NMDC shares closed Wednesday at 4.35 AED, down roughly 15% since the beginning of the year. About 25% of AD Ports’ shares are publicly traded, while the remainder is held by ADQ. Alpha Dhabi’s majority shareholder is International Holding Company, chaired by National Security Adviser Sheikh Tahnoon bin Zayed Al Nahyan.
Alpha Dhabi and Limak Previously Signed Cooperation MoU
Alpha Dhabi Holding’s engagement in Türkiye is not new. In July 2023, the company signed a Memorandum of Understanding with Türkiye’s Limak Group to promote sustainable development between the UAE and Türkiye.
The MoU was signed during President Recep Tayyip Erdoğan’s official visit to the UAE, at a business forum organized by DEİK. It aims to establish joint ventures in construction, infrastructure, energy, development, and tourism, marking a strategic step toward deepening economic cooperation between the two countries.
The agreement also envisions collaboration on reconstruction and rehabilitation efforts in regions affected by the February 2023 earthquakes.
Limak Chairperson Ebru Özdemir welcomed the long-term partnership, saying, “We are creating an important opportunity for both Türkiye and the UAE.”
Alpha Dhabi CEO and Managing Director Hamad Salem Al Ameri emphasized that the agreement aligns with the company’s growth ambitions in construction, energy, infrastructure, and tourism, adding that they are closely monitoring post-earthquake reconstruction opportunities in Türkiye.
