
The merger between BP Petrolleri A.Ş. and Petrol Ofisi A.Ş. was officially registered by the Istanbul Trade Registry Office on February 28, 2025. With this transaction, all rights and liabilities of BP Petrolleri A.Ş. have been transferred to Petrol Ofisi A.Ş.
BP Merges Under Petrol Ofisi Through Simplified Process
As part of the merger:
- Petrol Ofisi A.Ş., holding Petroleum Market Distribution License No. DAĞ/471-7/10208, has merged with BP, its wholly owned subsidiary, which held License No. DAĞ/471-143/10338.
- The merger was conducted under the simplified merger procedure in accordance with Articles 155 and related provisions of the Turkish Commercial Code.
- With the merger officially announced in the Türkiye Trade Registry Gazette (Issue No. 1282), BP ceased its legal entity status without liquidation, and all of its rights and obligations have been fully transferred to Petrol Ofisi A.Ş..
Petrol Ofisi CEO Highlights Future Strategy
Commenting on the merger, Petrol Ofisi Group CEO Mehmet Abbasoğlu stated:
“With our 9 terminals’ supply and distribution strength supporting nearly 2,700 stations across the country, we will continue to provide added value to both our consumers and dealers while further contributing to Türkiye’s energy security strategies.”
BP Stations to Transition to Petrol Ofisi by November 2026
- As of March 1, 2025, BP’s fuel distribution operations will continue under Petrol Ofisi’s distribution license.
- Customers can still purchase fuel from stations operating under both the “bp” and “Petrol Ofisi” brands.
- The rebranding process for BP-branded retail fuel stations is expected to be fully completed by November 1, 2026.
