Capital Markets Board of Türkiye Approves Debt Instrument Issuance for Three Companies and Green Lease Certificate

The Capital Markets Board of Türkiye (SPK) has approved the debt instrument issuance applications of three companies, according to the latest SPK bulletin.

CW Enerji Muhendislik Ticaret ve Sanayi A.S. received approval for a bond issuance worth 3 billion Turkish lira, Koc Fiat Kredi Finansman A.S. for 1.85 billion lira, and Karsan Otomotiv Sanayi ve Ticaret A.S. for 1 billion lira. Additionally, Emlak Varlik Kiralama A.S. was granted approval for a 100 million lira issuance of green lease certificates based on a construction contract.

The SPK also approved the establishment of several umbrella funds and venture capital funds. These include:

  • Argeus Real Estate and Venture Capital Portfolio Management A.S.’s Real Estate Umbrella Fund
  • Han Varlik Real Estate and Venture Capital Portfolio Management A.S.’s Venture Capital Umbrella Fund
  • Maxis Venture Capital Portfolio Management A.S.’s Venture Capital Umbrella Fund

Further approvals were given for the following investment funds:

  • Arz Real Estate and Venture Capital Portfolio Management A.S.’s First Project Real Estate Investment Fund
  • Hedef Portfolio Management A.S.’s Artinvest Venture Capital Investment Fund
  • Hedef Portfolio Management A.S.’s Energy Venture Capital Investment Fund
  • Rota Portfolio Management A.S.’s Fourth and Fifth Real Estate Investment Funds

The SPK also sanctioned the issuance documents for participation shares of these newly established funds.

Administrative Fines and Legal Actions

The SPK imposed administrative fines totaling 2,644,639 Turkish lira on seven entities following the discovery of regulatory violations during independent audits of their information systems.

Additionally, legal action will be taken to block access to 23 websites found to be offering leveraged trading services to residents in Türkiye without authorization. This decision was made under Article 99, paragraph four of the Capital Markets Law.
