Dagi Giyim Sanayi ve Ticaret A.Ş. has completed the transfer of shares representing 50.17% of the company’s capital to MNK Girişim Holding A.Ş., a company wholly owned by Mahmut Nedim Koç.

According to the company’s disclosure to the Public Disclosure Platform (KAP), a total of 200.7 million shares previously held directly by Koç were transferred to MNK Girişim Holding at TL 6 per share in an off-exchange transaction. The total value of the transaction was approximately TL 1.20 billion.

200.7 Million Shares Transferred

The transferred shares consist of 26 million Class A privileged registered shares and approximately 174.7 million Class B shares.

The transaction was approved by Dagi Giyim’s Board of Directors on August 12, 2026, and was completed on the same date.

No Change in Management Control

Dagi Giyim stated that the transfer does not result in any change in the company’s management control.

Following the transaction, Mahmut Nedim Koç’s direct ownership of the shares has effectively been converted into indirect ownership through MNK Girişim Holding, which he owns entirely.

The transaction therefore represents a restructuring of the ownership structure rather than a change in the controlling shareholder of Dagi Giyim.
