
ISTANBUL, June 25, 2026 — TAB Gıda Sanayi ve Ticaret A.Ş. announced that the European Bank for Reconstruction and Development (EBRD) has completed the sale of its entire shareholding in the company, marking the end of the international lender’s investment in one of Türkiye’s largest quick-service restaurant operators.
According to a disclosure filed with Türkiye’s Public Disclosure Platform (KAP), EBRD sold 9.2 million Class B shares, representing 3.52% of TAB Gıda’s outstanding capital, to qualified institutional investors located outside Türkiye through an accelerated bookbuilding process.
The transaction was completed at TRY 218 per share, reflecting a discount of approximately 7.98% to the stock’s previous closing price. Based on the sale price, EBRD is expected to generate gross proceeds of roughly TRY 2.01 billion from the divestment.
Citigroup Global Markets Limited acted as the sole global coordinator and bookrunner for the transaction.
Following the completion of the sale, EBRD’s ownership stake in TAB Gıda is expected to fall to zero, resulting in the bank’s full exit from the company.
TAB Gıda is one of Türkiye’s leading food service groups and operates several international and domestic restaurant brands, including Burger King, Popeyes, Arby’s, Sbarro, Subway, Usta Dönerci, and Usta Pideci in the Turkish market.
The transaction represents one of the largest block share sales in the Turkish consumer sector this year and highlights continued interest from international institutional investors in publicly traded Turkish companies.
