SAN FRANCISCO/BERLIN — Uber Technologies has formally launched its takeover bid for Delivery Hero, the German food delivery company that owns Yemeksepeti, after increasing its offer to €41.50 per share, valuing the company at approximately $14.8 billion (€12.9 billion). The all-cash proposal marks the start of the official acquisition process following weeks of negotiations.
The revised offer represents a significant premium over Delivery Hero’s recent trading levels and has received the backing of the company’s management and supervisory board. Uber, already Delivery Hero’s largest shareholder with a roughly 25% stake, is seeking to acquire at least 50% plus one share to complete the transaction.
If completed, the acquisition would create one of the world’s largest food delivery groups outside China, combining Uber Eats with Delivery Hero’s portfolio of brands, including Yemeksepeti, Glovo, foodpanda, Talabat, PedidosYa and Baedal Minjok. The combined company would operate in 99 countries, significantly expanding Uber’s presence across Europe, the Middle East, Asia and Latin America.
To address potential antitrust concerns, Delivery Hero has agreed to sell operations in 14 overlapping markets to U.S.-based investment firm SSW Partners for approximately €1.4 billion ($1.6 billion) before the acquisition is finalized. Uber also committed to maintaining Delivery Hero’s Berlin headquarters and workforce through at least 2029 while investing €2 billion in Germany.
The deal remains subject to shareholder approval and regulatory clearances in multiple jurisdictions. Analysts expect the review process to be lengthy, with completion anticipated in the second half of 2027.
